1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and FreightDetective.ai, operated by Nexus Growth Ventures ("Company," "we," "us," or "our"), governing your access to and use of the freight invoice auditing platform at www.freightdetective.ai (the "Service").

By accessing or using the Service, you confirm that you are at least 18 years of age, have the legal authority to enter into this agreement on behalf of yourself or your organization, and agree to be bound by these Terms. If you do not agree, you must not access or use the Service.

2. Description of Service

FreightDetective.ai provides an AI-powered freight invoice auditing platform that allows businesses to upload freight invoices and carrier contracts, automatically detect billing errors and overcharges, generate dispute letters to freight carriers, and track recovered savings. The Service is provided on a subscription basis.

3. Subscription Plans and Pricing

Subscriptions are billed monthly in advance. Payment is processed securely through Stripe. By providing payment information, you authorize us to charge your payment method for the applicable subscription fee on a recurring monthly basis until you cancel.

3.3 Price Changes

We reserve the right to modify subscription pricing with at least 30 days' written notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.

4. Cancellation and Refund Policy

4.1 Cancellation

You may cancel your subscription at any time through the Billing section of your account dashboard or by contacting us at [email protected]. Cancellations take effect at the end of the current billing period. You will retain access to the Service until the end of the paid period.

4.2 Refunds

All subscription fees are non-refundable except as required by applicable law. If you believe you have been charged in error, contact us within 30 days of the charge at [email protected] and we will investigate and resolve the issue promptly.

5. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Upload fraudulent, falsified, or forged invoices or documents
• Use the Service to generate dispute letters for invoices you know to be correct
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service
• Use automated tools to scrape, crawl, or extract data from the Service
• Share your account credentials with unauthorized third parties
• Use the Service in any way that violates applicable federal, state, or local laws
• Interfere with or disrupt the integrity or performance of the Service

6. Your Data and Intellectual Property

6.1 Your Content

You retain all ownership rights to the invoices, contracts, and other documents you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited, non-exclusive license to process, analyze, and use Your Content solely for the purpose of providing the Service to you.

6.2 Our Intellectual Property

The Service, including its software, algorithms, audit engine, dispute letter templates, user interface, and all related intellectual property, is owned exclusively by Nexus Growth Ventures and is protected by copyright, trademark, and other intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property except as necessary to use the Service.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that: (a) the Service will be uninterrupted or error-free; (b) the audit results will identify all billing errors; (c) dispute letters will result in refunds or credits from carriers; or (d) the Service will meet your specific requirements.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEXUS GROWTH VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to defend, indemnify, and hold harmless Nexus Growth Ventures and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved through binding arbitration in accordance with the American Arbitration Association's Commercial Arbitration Rules, except that either party may seek injunctive relief in a court of competent jurisdiction.

11. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or by posting a prominent notice on the Service. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
